1. Ownership – legal information

This website, accessible at www.sensoryvalue.com and through its different language versions (the “Website”), is owned by SENSORY VALUE S.L. (“Sensory Value” or “we”), a company duly incorporated under Spanish law, with registered office at C/ Toledo, 10, Casa 1, 08195 Sant Cugat del Vallès (Barcelona, Spain), holder of Spanish tax identification number (NIF) B75270009 and registered in the Commercial Registry of Barcelona, Volume/IRUS 1000433088162, electronic folio, Sheet B-623115, 1st entry.

2. Acceptance and severability

Access to and use of our Website, and of its information and content, are subject to the applicable regulations and to the provisions set out in the terms and conditions of this Website: Legal Notice, Privacy Policy, Cookies Policy and any other policy or legal text that governs, now or in the future, the use of this Website (the “Legal Terms”).

Accessing the Website confers the status of user (the “User” or “Users”) and implies knowledge of the Legal Terms in force at any given time. If you do not agree with them, please do not use the Website.

The unlawfulness, invalidity or ineffectiveness of any provision of the Legal Terms shall not affect the validity of the rest. Such provisions shall be replaced or supplemented by others that, while complying with the law, serve the purpose of those replaced.

3. Amendment

Sensory Value reserves the right to amend the Legal Terms. We make clear that amendments to the Legal Terms shall in no case apply retroactively, unless expressly stated to be for the benefit of Users and/or to comply with the regulations applicable at any given time.

If the Legal Terms are amended, Sensory Value will publish the updated version on the Website, stating its version number and date.

It is therefore important that Users check the Legal Terms regularly.

In the event of any conflict between these Legal Terms and any previous version of them, and unless otherwise determined, the most recent shall prevail.

The applicable Legal Terms shall be those in force at the time Users access and/or use the Website.

4. The Website and its Content

The purpose of the Website is to provide information about Sensory Value’s activity as a sensory product consultancy for the food and beverage sector and about its sensory analysis, market research and strategic consultancy services (the “Services”).

The Website is aimed at companies and professionals. It does not require registration, has no user areas and does not allow online contracting or payments.

The information, texts, descriptions of methodologies, published cases, figures and other content of the Website (the “Content”) are provided for general information purposes only. The Content does not constitute a binding offer or advice applicable to a specific case. Any contracting of the Services shall be formalised through the corresponding proposal or contract, which shall prevail over the information published on the Website.

Sensory Value may at any time change the configuration, presentation and Content of the Website, and suspend access to it in whole or in part.

5. Use of the Website

The User agrees to use the Website in accordance with the law, morality, generally accepted good practice, public order and the Legal Terms. In particular, but not exhaustively, the User agrees not to use the Website for unlawful purposes or purposes contrary to the Legal Terms, to harm our rights and/or interests or those of third parties, or in any other way to damage, disable, overload or impair the Website or prevent its normal use.

The User further undertakes to: (a) provide truthful information through the contact form and not enter the data of third parties without their authorisation; (b) not use the contact form to send unsolicited commercial communications or unlawful content; (c) not extract, reuse or index the Content of the Website on a large scale (scraping), including for the purpose of training artificial intelligence systems, without the prior written authorisation of Sensory Value; and (d) not introduce viruses or malicious code or attempt to access restricted areas of the systems of Sensory Value or its providers.

We reserve the right, at any time and without notice, to block access to the Website temporarily or permanently if, in our opinion, any provision of the Legal Terms and/or the applicable regulations has been breached, or if there are reasonable doubts in this regard or a suspicion that any of these situations may occur.

6. Links

The Website may include links to third-party websites (for example, to Sensory Value’s page on LinkedIn). Sensory Value does not control those websites, their content, legal terms or privacy policies, which the User should consult when accessing them. Links do not represent any kind of relationship between Sensory Value and the owners of those websites, nor do they constitute any suggestion, invitation or recommendation.

Links to the home page of the Website are permitted, provided that the Website is not reproduced within frames, no false, inaccurate or incorrect statements are made about Sensory Value or its Services, it is not implied that Sensory Value endorses the content of the linking site, and Sensory Value’s distinctive signs are not used without authorisation.

7. Exclusions and limitation of liability

In view of the unforeseeable situations that characterise technological environments and the Internet, Sensory Value reserves the right to temporarily suspend access to the Website for technical, security or maintenance reasons, without this giving the User any right to compensation. Sensory Value will nonetheless make its best efforts to limit, wherever possible, any suspension or interruption.

Sensory Value shall not be liable for decisions the User takes based solely on the Content, nor for damage arising from any lack of accuracy, completeness or currency of the Content, in accordance with clause 4.

Sensory Value takes reasonable technical measures to protect the Website, but does not guarantee the absence of viruses or other harmful elements and shall not be liable for damage caused to the User’s equipment or systems by causes beyond Sensory Value’s control, such as network failures, failures of access providers or of the User’s own device or browser.

Sensory Value shall in no case be liable for content, activities, products and/or services that may be accessed through electronic links directly or indirectly related to our Website, without prejudice to its obligation to remove or disable a link when it has actual knowledge that it is unlawful, under Article 17 of Spanish Law 34/2002 of 11 July on information society services and electronic commerce.

Nothing in the Legal Terms excludes or limits the liability of Sensory Value where, under the applicable regulations, such liability cannot be excluded or limited, including damage caused by wilful misconduct or gross negligence.

8. Intellectual and industrial property

The User acknowledges and accepts that all rights, title and interest in and associated with the Website and its Content (including texts, photographs, images, graphic design, source code and look and feel), as well as the distinctive signs Sensory Value, SensoExpert Lab and SensoConsumer, whether registered or not, are the exclusive property of Sensory Value or of third parties who have authorised their use.

Third-party trademarks and names mentioned on the Website, such as Sensory Spectrum, belong to their respective owners, and their mention does not imply any relationship other than that expressly stated.

The User does not acquire any intellectual or industrial property right through the mere use of the Website. Total or partial reproduction, modification, transformation, distribution, public communication, making available to the public or any other form of exploitation of the Content is prohibited, except for viewing and printing for personal, non-commercial use or with the prior written authorisation of Sensory Value.

For the purposes of Article 4(3) of Directive (EU) 2019/790 and its transposing legislation, Sensory Value expressly reserves the use of the Content for text and data mining, including its use for training artificial intelligence systems.

Breach of any of the provisions set out herein will lead Sensory Value to take the appropriate legal action against the infringer to defend its rights, title and interests, including the possibility of claiming damages.

9. Applicable law and jurisdiction

The interpretation and application of the Legal Terms shall be governed by Spanish law.

To resolve any dispute that may arise in the interpretation and/or performance of the Legal Terms, the parties submit to the jurisdiction of the courts and tribunals of the city of Barcelona (Spain), expressly waiving any other jurisdiction that may correspond to them.

However, where the User is a consumer and the applicable regulations allow them to choose the courts of their place of residence, they may proceed in accordance with those regulations.
